1. Scope

These Terms & Conditions (“Terms”) govern all purchases and use of software products and services provided by ProShop. All sales are processed by CopeCart GmbH as merchant of record. By ordering, you accept these Terms.

2. Digital Products & Delivery

Products are delivered digitally (download, license key, or online access). No physical shipping occurs. Delivery is generally immediate after successful payment at CopeCart, or within a short processing window.

3. Payments, Prices, Taxes

Checkout, payment processing, invoicing, and applicable taxes are handled by CopeCart. Final pricing, currency, and tax calculation are determined at CopeCart checkout according to your billing country and regulations.

4. Right of Withdrawal for Digital Content

For digital software, the EU 14-day right of withdrawal does not apply once you have expressly consented to immediate delivery and acknowledged the waiver during CopeCart checkout (Directive 2011/83/EU, Art. 16(m)). See also our Right of Withdrawal.

5. License Grant & Usage

Upon purchase and subject to these Terms, you receive a non-exclusive, non-transferable license to use the software for the scope stated on the product page and/or in your license (e.g., number of domains/stores). Reverse engineering, resale, sublicensing, public distribution of license keys, and removal of copyright notices are prohibited unless explicitly permitted.

6. Subscriptions & Renewals

Subscription plans renew automatically for the stated period until cancelled. You may cancel future renewals according to the instructions provided by CopeCart. Fees already paid for elapsed or current periods are non-refundable unless required by law.

7. Updates & Support

Starter includes updates for the specified period; Pro/Agency include ongoing updates while the subscription is active. Support scope and response times are described on the website. We may provide patches, minor/major updates, or workarounds at our discretion.

8. Customer Obligations

• Provide accurate account and billing information.
• Keep license keys confidential and use them only within the allowed scope.
• Maintain reasonable security (server configuration, updates, backups).
• Comply with applicable laws, third-party terms (e.g., payment providers), and export regulations.

9. Intellectual Property

All intellectual property rights in the software remain with us or our licensors. No rights are granted except as expressly set out in these Terms. Feedback may be used to improve the product without obligation or attribution.

10. Warranty

We provide the software using reasonable skill and care. However, the software is provided “as is” and without warranty as to uninterrupted or error-free operation. Statutory consumer rights remain unaffected where applicable.

11. Liability

We are liable without limitation for intent and gross negligence, and for injury to life, body, or health. In cases of slight negligence, liability is limited to typical foreseeable damage and excludes indirect or consequential losses, loss of profits, loss of data (unless we caused it intentionally or by gross negligence), and business interruption, unless mandatory law provides otherwise.

12. Third-Party Services (CopeCart, etc.)

Payment processing, invoicing, and certain customer communications are performed by CopeCart under their own terms and privacy policy. We do not store payment card data on our servers.

13. Termination

We may suspend or terminate licenses for material breach (e.g., piracy, abuse, non-payment) after notice where required by law. Upon termination, your right to use the software ceases; sections intended to survive (e.g., IP, liability limits) remain in effect.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Germany (excluding conflict-of-law rules). If you are a merchant, the exclusive place of jurisdiction is our registered seat. Mandatory consumer protection rules of your country of residence remain unaffected.

15. Changes to These Terms

We may update these Terms to reflect legal, technical, or business changes. The current version is published on this page. Material changes will apply to new purchases and renewals going forward.
